A Con\u00adtrac\u00adtu\u00adal foundations<\/h4>\n

1 Scope<\/strong><\/p>\n

The\u00adse Terms and Con\u00addi\u00adti\u00adons of Busi\u00adness app\u00adly to all con\u00adtrac\u00adtu\u00adal rela\u00adti\u00adonships and pre-con\u00adtrac\u00adtu\u00adal nego\u00adtia\u00adti\u00adons with our cus\u00adto\u00admers, regard\u00adless of the natu\u00adre and scope of the ser\u00advice as part of ongo\u00ading and future busi\u00adness relationships.<\/p>\n

2 Exclu\u00adsi\u00advi\u00adty<\/strong><\/p>\n

Our Terms and Con\u00addi\u00adti\u00adons of Busi\u00adness app\u00adly exclu\u00adsi\u00adve\u00adly.
Any con\u00adflic\u00adting terms and con\u00addi\u00adti\u00adons of busi\u00adness of our con\u00adtrac\u00adtu\u00adal part\u00adners or third par\u00adties are only valid if GSI expli\u00adcit\u00adly agrees to their vali\u00addi\u00adty in wri\u00adting. If you do not agree to them, you must advi\u00adse GSI in wri\u00adting imme\u00addia\u00adte\u00adly. In this case, we reser\u00adve the right to with\u00addraw our offer wit\u00adhout such action giving rise to any claims against us of any kind. We expli\u00adcit\u00adly reject any refe\u00adrence to your own terms and con\u00addi\u00adti\u00adons of busi\u00adness con\u00adtai\u00adned in any form.<\/p>\n

3 Con\u00adclu\u00adsi\u00adon of the con\u00adtract and writ\u00adten form<\/strong><\/p>\n

As a gene\u00adral rule, we will only enter into a con\u00adtrac\u00adtu\u00adal obli\u00adga\u00adti\u00adon if the natu\u00adre and scope of the ser\u00advice and con\u00adside\u00adra\u00adti\u00adon have been defi\u00adned in wri\u00adting by both par\u00adties. Later ver\u00adbal chan\u00adges and addi\u00adti\u00adons will only be effec\u00adti\u00adve if they are sub\u00adse\u00adquent\u00adly con\u00adfirm\u00aded in wri\u00adting. he same appli\u00ades to decla\u00adra\u00adti\u00adons of intent, par\u00adti\u00adcu\u00adlar\u00adly objec\u00adtions, remin\u00adders and com\u00adplaints rela\u00adting to the con\u00adtrac\u00adtu\u00adal rela\u00adti\u00adonship. Both par\u00adties to the con\u00adtract must reser\u00adve the right in wri\u00adting to impo\u00adse con\u00adtrac\u00adtu\u00adal pen\u00adal\u00adties. This clau\u00adse can only be sus\u00adpen\u00added by means of an expli\u00adcit writ\u00adten agreement.<\/p>\n

B Pro\u00advi\u00adsi\u00adon of software<\/h4>\n

4 Licence and scope of use<\/strong><\/p>\n

In its capa\u00adci\u00adty as the rights hol\u00adder, GSI grants the cus\u00adto\u00admer the non-trans\u00adfera\u00adble, non-exclu\u00adsi\u00adve right to use the soft\u00adware and docu\u00admen\u00adta\u00adry mate\u00adri\u00adal spe\u00adci\u00adfied in the order and\/or invoice for an inde\u00adfi\u00adni\u00adte peri\u00adod. Con\u00adtrac\u00adtu\u00adal use is defi\u00adned as fol\u00adlows. Copy\u00ading ins\u00adtruc\u00adtions or data for a pro\u00adgram by ente\u00adring them at a ter\u00admi\u00adnal, trans\u00adfer\u00adring them from sto\u00adrage units or data car\u00adri\u00aders to the agreed hard\u00adware for the pur\u00adpo\u00adse of pro\u00adces\u00adsing, as well as making a copy in machi\u00adne-rea\u00adda\u00adble for\u00admat as a data back\u00adup. The area of deploy\u00adment, per\u00adfor\u00admance and all other spe\u00adci\u00adfic pro\u00adper\u00adties of the pro\u00adgram are defi\u00adned exclu\u00adsi\u00adve\u00adly in the pro\u00adduct spe\u00adci\u00adfi\u00adca\u00adti\u00adon enc\u00adlo\u00adsed with the offer. Details in bro\u00adchu\u00adres and\/or adver\u00adti\u00adsing mate\u00adri\u00adal are non-bin\u00adding, par\u00adti\u00adcu\u00adlar\u00adly becau\u00adse the pro\u00adducts are sub\u00adject to con\u00adstant modi\u00adfi\u00adca\u00adti\u00adon and the infor\u00adma\u00adti\u00adon may also rela\u00adte to future deve\u00adlo\u00adp\u00adments. he cus\u00adto\u00admer acqui\u00adres the right to use the soft\u00adware at as many work\u00adsta\u00adtions con\u00adnec\u00adted in a local net\u00adwork as he has paid licence fees for. The assess\u00adment basis for this is the num\u00adber of licen\u00adces lis\u00adted in the asso\u00adcia\u00adted invoice as well as any spe\u00adcial agree\u00adments that may have been made (volu\u00adme dis\u00adcounts, unrest\u00adric\u00adted licen\u00adces, etc.). Work\u00adsta\u00adtions on the net\u00adwork also include home office sta\u00adti\u00adons forming part of the net\u00adwork, por\u00adta\u00adble com\u00adpu\u00adters tem\u00adpo\u00adr\u00ada\u00adri\u00adly con\u00adnec\u00adted to the net\u00adwork as well as remo\u00adte work desks. If such work desks mere\u00adly ser\u00adve as a sub\u00adsti\u00adtu\u00adte for work\u00adsta\u00adtions con\u00adnec\u00adted to the local net\u00adwork, no addi\u00adtio\u00adnal work desk licence is requi\u00adred for them. If the agreed num\u00adber is excee\u00added, error-free ope\u00adra\u00adti\u00adon can\u00adnot be gua\u00adran\u00adteed. Use of the soft\u00adware on por\u00adta\u00adble com\u00adpu\u00adters is also dee\u00admed to be simul\u00adta\u00adneous operation.<\/p>\n

5 Pro\u00adper\u00adty rights<\/strong><\/p>\n

GSI indem\u00adni\u00adfies the cus\u00adto\u00admer against all claims asser\u00adted against him in con\u00adnec\u00adtion with the use of the soft\u00adware due to breach of copy\u00adrights, patents or other intellec\u00adtu\u00adal pro\u00adper\u00adty rights, provided<\/p>\n

    \n
  • the cus\u00adto\u00admer informs GSI imme\u00addia\u00adte\u00adly of all char\u00adges of inf\u00adrin\u00adge\u00adments rai\u00adsed against him.<\/li>\n
  • the cus\u00adto\u00admer does not ack\u00adnow\u00adledge any such claims wit\u00adhout the agree\u00adment of GSI.<\/li>\n
  • the cus\u00adto\u00admer per\u00admits GSI to con\u00adduct all nego\u00adtia\u00adti\u00adons and pro\u00adcee\u00addings and gives GSI the neces\u00adsa\u00adry sup\u00adport alt\u00adhough all cos\u00adts asso\u00adcia\u00adted with the nego\u00adtia\u00adti\u00adons and any court cases will be for GSI\u2019s account.<\/li>\n<\/ul>\n

    The obli\u00adga\u00adti\u00adon descri\u00adbed abo\u00adve will not app\u00adly if the breach of copy\u00adright or patent or any other legal impairm\u00adents are due to the fact that the soft\u00adware or parts of it have been used with devices or pro\u00adgrams not sup\u00adpli\u00aded or their com\u00adbi\u00adned use has not been agreed by GSI. The abo\u00adve pro\u00advi\u00adsi\u00adons defi\u00adne GSI\u2019s enti\u00adre lia\u00adbi\u00adli\u00adty in con\u00adnec\u00adtion with the breach of copy\u00adrights, patents or other intellec\u00adtu\u00adal pro\u00adper\u00adty rights. In the event of claims alre\u00ada\u00addy asser\u00adted or to be expec\u00adted due a breach of copy\u00adrights, patents or other intellec\u00adtu\u00adal pro\u00adper\u00adty rights, GSI will be entit\u00adled to chan\u00adge or replace the devices or pro\u00adgrams in order to pre\u00advent any breach. The per\u00adfor\u00admance of the soft\u00adware sys\u00adtem sup\u00adpli\u00aded by GSI may not be redu\u00adced as a result. If use of the soft\u00adware or parts of it is for\u00adbidden on the basis of a court order or in GSI\u2019s judgment, the\u00adre is a thre\u00adat of a lawsu\u00adit due to a breach of pro\u00adper\u00adty rights, GSI may opt at its own expen\u00adse and exclu\u00adding all other rights of the cus\u00adto\u00admer to:<\/p>\n

      \n
    • Chan\u00adge the pro\u00adgrams in such a way that they no lon\u00adger breach any pro\u00adper\u00adty rights;<\/li>\n
    • Pro\u00adcu\u00adre the customer\u2019s right to con\u00adti\u00adnue using the systems;<\/li>\n
    • Replace the rele\u00advant pro\u00adgrams with pro\u00adgrams that do not breach any pro\u00adper\u00adty rights and which eit\u00adher meet the customer\u2019s requi\u00adre\u00adments or are equi\u00adva\u00adlent to the pro\u00adgrams replaced;<\/li>\n
    • With\u00addraw the pro\u00adgrams or parts of them and refund the (if appli\u00adca\u00adble pro rata) purcha\u00adse pri\u00adce to the cus\u00adto\u00admer after deduc\u00adting an appro\u00adpria\u00adte amount for their use and their depre\u00adcia\u00adti\u00adon in value, less any dama\u00adges incur\u00adred by the cus\u00adto\u00admer as a result.<\/li>\n<\/ul>\n

      6 Title and copyrights<\/strong><\/p>\n

      The soft\u00adware given to the cus\u00adto\u00admer remains the pro\u00adper\u00adty of GSI tog\u00ade\u00adther with all docu\u00admen\u00adta\u00adti\u00adon. GSI remains the owner of all copy\u00adrights and rights of use to the pro\u00adgrams given to the cus\u00adto\u00admer inclu\u00adding asso\u00adcia\u00adted docu\u00admen\u00adta\u00adry mate\u00adri\u00adal in each case even if the cus\u00adto\u00admer chan\u00adges them or com\u00adbi\u00adnes them with his own pro\u00adgrams and\/or tho\u00adse of a third par\u00adty. In the case of such chan\u00adges or com\u00adbi\u00adna\u00adti\u00adons and if copies are made, the cus\u00adto\u00admer will attach a cor\u00adre\u00adspon\u00adding copy\u00adright noti\u00adce. Chan\u00adges and exten\u00adsi\u00adons to the pro\u00adgram code car\u00adri\u00aded out at the request and expen\u00adse of the cus\u00adto\u00admer, beco\u00adme the pro\u00adper\u00adty of GSI and can be made available to other cus\u00adto\u00admers. The rights to use pro\u00adgram enhance\u00adments will be assi\u00adgned to GSI. The buy\u00ader her\u00adeby accepts the assign\u00adment. The cus\u00adto\u00admer is only entit\u00adled to chan\u00adge the pro\u00adgram code with the pri\u00ador writ\u00adten agree\u00adment of GSI. Agree\u00adment may only be refu\u00adsed for good cau\u00adse. The cus\u00adto\u00admer will pro\u00advi\u00adde GSI with a copy of such chan\u00adges on a data car\u00adri\u00ader or in prin\u00adted form tog\u00ade\u00adther with all neces\u00adsa\u00adry infor\u00adma\u00adti\u00adon. Any explo\u00adita\u00adti\u00adon of the chan\u00adged ver\u00adsi\u00adon of the pro\u00adgram requi\u00adres the customer\u2019s agree\u00adment. If chan\u00adged pro\u00adgrams or dif\u00adfe\u00adrent pro\u00adgrams not pro\u00adcu\u00adred by GSI are used by the cus\u00adto\u00admer or third par\u00adties, and the working of the sys\u00adtem is impai\u00adred as a result, GSI will not be lia\u00adble for any dama\u00adge incurred.<\/p>\n

      7 Pay\u00adments<\/strong><\/p>\n

      The cus\u00adto\u00admer is obli\u00adged to pay a one-off licence fee for use of the soft\u00adware for an inde\u00adfi\u00adni\u00adte peri\u00adod. The level of the licence fee will be based on the cur\u00adrent pri\u00adce list or any sepa\u00adra\u00adte agree\u00adments rea\u00adched as shown in the order or invoice. The licence fee will be due imme\u00addia\u00adte\u00adly upon deli\u00advery of the soft\u00adware with no deduc\u00adtions. The fee for main\u00adtai\u00adning the soft\u00adware is due on deli\u00advery and will be char\u00adged every six months in advan\u00adce. All other ser\u00advices char\u00adged in con\u00adnec\u00adtion with this con\u00adtract will be bil\u00adled month\u00adly but no later than on pro\u00advi\u00adsi\u00adon of the ser\u00advice. Unless other\u00adwi\u00adse agreed, the cus\u00adto\u00admer will make pay\u00adments imme\u00addia\u00adte\u00adly to a bank account belon\u00adging to GSI. If the cus\u00adto\u00admer falls into arre\u00adars by more than 14 days with respect to due pay\u00adments, GSI will be entit\u00adled to char\u00adge default inte\u00adrest at the rate of 8%.<\/p>\n

      8 Obli\u00adga\u00adti\u00adons of the customer<\/strong><\/p>\n

      The pro\u00adgrams and docu\u00admen\u00adta\u00adti\u00adon mate\u00adri\u00adal ent\u00adrus\u00adted to the cus\u00adto\u00admer may not be made available in part or in who\u00adle to third par\u00adties if the\u00adre are grounds for suspec\u00adting pos\u00adsi\u00adble misu\u00adse. The cus\u00adto\u00admer may not alter GSI\u2019s mar\u00adkings, copy\u00adright and pro\u00adprie\u00adta\u00adry noti\u00adces to the pro\u00adgrams in any shape or form. The cus\u00adto\u00admer must ensu\u00adre that all pro\u00adgram mate\u00adri\u00adal, docu\u00admen\u00adta\u00adti\u00adon, ope\u00adra\u00adting ins\u00adtruc\u00adtions and know\u00adledge spe\u00adci\u00adfic to the pro\u00adgrams is kept con\u00adfi\u00adden\u00adti\u00adal with respect to the out\u00adside world. This includes any docu\u00adments which have been made available to the cus\u00adto\u00admer in ful\u00adfilm\u00adent of this con\u00adtract, but not inclu\u00adding adver\u00adti\u00adsing mate\u00adri\u00adal and its con\u00adtent. He must obli\u00adga\u00adte his employees to main\u00adtain the same level of con\u00adfi\u00adden\u00adtia\u00adli\u00adty. This duty of con\u00adfi\u00adden\u00adtia\u00adli\u00adty also appli\u00ades bey\u00adond the term of the con\u00adtract, regard\u00adless of whe\u00adther the con\u00adtrac\u00adtu\u00adal rela\u00adti\u00adonship was ter\u00admi\u00adna\u00adted pre\u00adma\u00adtu\u00adre\u00adly for any par\u00adti\u00adcu\u00adlar reason. The duty of con\u00adfi\u00adden\u00adtia\u00adli\u00adty also covers a ban on publi\u00adshing extra\u00adcts from the mate\u00adri\u00adal or quo\u00adtes. Any breach of the duty of con\u00adfi\u00adden\u00adtia\u00adli\u00adty is only per\u00admit\u00adted with GSI\u2019s pri\u00ador writ\u00adten appr\u00adoval. The cus\u00adto\u00admer under\u00adta\u00adkes to reim\u00adbur\u00adse GSI for any dama\u00adges incur\u00adred by a breach of the abo\u00adve pro\u00advi\u00adsi\u00adons in the event of gross negli\u00adgence, to a maxi\u00admum amount equi\u00adva\u00adlent to the pri\u00adce of the licence, except in the case of wilful action. The cus\u00adto\u00admer is obli\u00adged to inde\u00adpendent\u00adly ensu\u00adre suf\u00adfi\u00adci\u00adent data back\u00adups after pri\u00ador war\u00adning by GSI befo\u00adre a GSI employee makes chan\u00adges to the con\u00adfi\u00adgu\u00adra\u00adti\u00adons on the customer\u2019s live server.<\/p>\n

      9 Ter\u00admi\u00adna\u00adti\u00adon<\/strong><\/p>\n

      GSI can ter\u00admi\u00adna\u00adte the con\u00adtract with imme\u00addia\u00adte effect if the cus\u00adto\u00admer is more than two months in arre\u00adars with the agreed pay\u00adment of the licence fee, and\/or the cus\u00adto\u00admer \u2013 after a writ\u00adten war\u00adning \u2013 con\u00adti\u00adnues to breach a pro\u00advi\u00adsi\u00adon of the\u00adse Gene\u00adral Terms and Con\u00addi\u00adti\u00adons of Busi\u00adness or other rules con\u00adtai\u00adned in sepa\u00adra\u00adte con\u00adtracts. The cus\u00adto\u00admer is only entit\u00adled to ter\u00admi\u00adna\u00adte this con\u00adtract becau\u00adse GSI is delay\u00aded in pro\u00advi\u00adding per\u00adfor\u00admance or due to defects that can\u00adnot be reme\u00addi\u00aded if GSI has fai\u00adled to meet its obli\u00adga\u00adti\u00adons and if he has pre\u00advious\u00adly issued GSI with a writ\u00adten war\u00adning and a sui\u00adta\u00adble peri\u00adod of time has elap\u00adsed in which the breach of con\u00adtract com\u00adplai\u00adned about has not been reme\u00addi\u00aded. Within a dead\u00adline of five days after ter\u00admi\u00adna\u00adti\u00adon of the licence, the cus\u00adto\u00admer will des\u00adtroy all pro\u00adgrams, copies, asso\u00adcia\u00adted mate\u00adri\u00adal inclu\u00adding any modi\u00adfied or com\u00adbi\u00adned pro\u00adgrams, unless they have to be retai\u00adned due to sta\u00adtu\u00adto\u00adry regu\u00adla\u00adti\u00adons. The cus\u00adto\u00admer will con\u00adfirm their des\u00adtruc\u00adtion or reten\u00adti\u00adon due to sta\u00adtu\u00adto\u00adry pro\u00advi\u00adsi\u00adons within 30 days wit\u00adhout being reques\u00adted to do so. He will also grant GSI the right to check whe\u00adther this pro\u00advi\u00adsi\u00adon is adhe\u00adred to.<\/p>\n

      C Soft\u00adware exten\u00adsi\u00adon and adaptation<\/h4>\n

      10 Hand\u00adling<\/strong><\/p>\n

      GSI will extend and adapt the soft\u00adware sup\u00adpli\u00aded as defi\u00adned in the order. The cus\u00adto\u00admer will pro\u00advi\u00adde GSI with all the infor\u00adma\u00adti\u00adon requi\u00adred to pro\u00addu\u00adce the soft\u00adware in a clear, writ\u00adten for\u00admat and at GSI\u2019s request will also explain it ver\u00adbal\u00adly. If the cus\u00adto\u00admer dis\u00adco\u00advers that requi\u00adre\u00adments ana\u00adly\u00adses, per\u00adfor\u00admance spe\u00adci\u00adfi\u00adca\u00adti\u00adons or state\u00adments of requi\u00adre\u00adments do not match the requi\u00adre\u00adments actual\u00adly deman\u00added by the cus\u00adto\u00admer, he will imme\u00addia\u00adte\u00adly noti\u00adfy GSI of this fact in wri\u00adting and sub\u00admit alter\u00adna\u00adti\u00adve pro\u00adpo\u00adsals. The par\u00adties will then deci\u00adde by mutu\u00adal agree\u00adment on adding to or alte\u00adring the requi\u00adre\u00adments. The cus\u00adto\u00admer will meet all his duties of coope\u00adra\u00adti\u00adon spe\u00adci\u00adfied here free of char\u00adge. If GSI estab\u00adlishes that details or infor\u00adma\u00adti\u00adon pro\u00advi\u00added by the cus\u00adto\u00admer are erro\u00adn\u00adeous, incom\u00adple\u00adte or not appro\u00adpria\u00adte for car\u00adry\u00ading out the order, it will imme\u00addia\u00adte\u00adly draw the customer\u2019s atten\u00adti\u00adon to this fact in wri\u00adting. The cus\u00adto\u00admer will take an imme\u00addia\u00adte decis\u00adi\u00adon on any chan\u00adge resul\u00adting from such noti\u00adce to the ext\u00adent that it rela\u00adtes to the pro\u00adcess of wri\u00adting the soft\u00adware. As soon as the con\u00adtract has been con\u00adcluded, each par\u00adty will nomi\u00adna\u00adte a com\u00adpe\u00adtent per\u00adson aut\u00adho\u00adri\u00adsed to bring about decis\u00adi\u00adons in con\u00adnec\u00adtion with the pro\u00adduc\u00adtion of the software.<\/p>\n

      11 Requests for changes<\/strong><\/p>\n

      As long as the soft\u00adware has not been deli\u00adver\u00aded by GSI, the cus\u00adto\u00admer can request a chan\u00adge in the requi\u00adre\u00adments in wri\u00adting at any time as long as the request for a chan\u00adge is in reasonable pro\u00adpor\u00adti\u00adon to the over\u00adall order and is based on objec\u00adti\u00adve con\u00adside\u00adra\u00adti\u00adons. GSI will enact this request for a chan\u00adge unless it is unre\u00adasonable to expect it to do so due to the spe\u00adci\u00adfic ope\u00adra\u00adting situa\u00adti\u00adon. If such a request for a chan\u00adge by the cus\u00adto\u00admer leads to a situa\u00adti\u00adon whe\u00adre the con\u00adtrac\u00adtu\u00adal balan\u00adce bet\u00adween per\u00adfor\u00admance and con\u00adside\u00adra\u00adti\u00adon is more than insub\u00adstan\u00adti\u00adal\u00adly impai\u00adred, the con\u00adtrac\u00adting par\u00adties will imme\u00addia\u00adte\u00adly agree a writ\u00adten modi\u00adfi\u00adca\u00adti\u00adon of the con\u00adtrac\u00adtu\u00adal arran\u00adge\u00adments with regard to the essen\u00adti\u00adal con\u00adtent of the con\u00adtract (par\u00adti\u00adcu\u00adlar\u00adly remu\u00adne\u00adra\u00adti\u00adon, lead time, etc.). If the par\u00adties are unable to reach an agree\u00adment within four weeks from receipt of the request for a chan\u00adge by GSI, the order will be car\u00adri\u00aded out wit\u00adhout taking the request for a chan\u00adge into consideration.<\/p>\n

      D Deli\u00advery, appr\u00adoval, war\u00adran\u00adty and liability<\/h4>\n

      12 Deli\u00advery, sche\u00addu\u00adle and installation<\/strong><\/p>\n

      As a gene\u00adral rule, deli\u00advery dates and deli\u00advery peri\u00adods repre\u00adsent non-bin\u00adding gui\u00adde\u00adlines in terms of the sche\u00addu\u00adle unless they have been expli\u00adcit\u00adly agreed in wri\u00adting as fixed dates.<\/p>\n

      As a gene\u00adral rule, a stan\u00addard ver\u00adsi\u00adon of the soft\u00adware to be sup\u00adpli\u00aded will be instal\u00adled. The stan\u00addard soft\u00adware will only be exten\u00added or modi\u00adfied if this has been spe\u00adci\u00adfied accor\u00addin\u00adgly in the order in wri\u00adting. Instal\u00adla\u00adti\u00adon will be per\u00adfor\u00admed in con\u00adsul\u00adta\u00adti\u00adon with the cus\u00adto\u00admer. For this pur\u00adpo\u00adse, the cus\u00adto\u00admer will nomi\u00adna\u00adte a cont\u00adact in wri\u00adting as soon as the con\u00adtract has been con\u00adcluded. Imme\u00addia\u00adte\u00adly upon con\u00adclu\u00adsi\u00adon of the con\u00adtract, the cus\u00adto\u00admer will hand over to GSI all the docu\u00admen\u00adta\u00adti\u00adon from which GSI can see the cur\u00adrent con\u00adfi\u00adgu\u00adra\u00adti\u00adon of the hard\u00adware \/ ope\u00adra\u00adting sys\u00adtem plat\u00adform which the cus\u00adto\u00admer is curr\u00adent\u00adly using. If GSI estab\u00adlishes that the con\u00adfi\u00adgu\u00adra\u00adti\u00adon needs to be chan\u00adged, this chan\u00adge must be car\u00adri\u00aded out befo\u00adre instal\u00adla\u00adti\u00adon of the soft\u00adware at the expen\u00adse and risk of the cus\u00adto\u00admer. The cus\u00adto\u00admer is obli\u00adged to pro\u00advi\u00adde all the coope\u00adra\u00adti\u00adve ser\u00advices requi\u00adred to imple\u00adment the soft\u00adware. In par\u00adti\u00adcu\u00adlar, this includes faci\u00adli\u00adta\u00adting access to the hard\u00adware as well as free pro\u00advi\u00adsi\u00adon of test data and com\u00adpu\u00adting time in accordance with GSI\u2019s requi\u00adre\u00adments and the free pro\u00advi\u00adsi\u00adon of an expert employee who can car\u00adry out the neces\u00adsa\u00adry tests or review adjus\u00adt\u00adments. On con\u00adclu\u00adsi\u00adon of the con\u00adtract, GSI will pro\u00advi\u00adde the cus\u00adto\u00admer with a copy of the latest ver\u00adsi\u00adon of the licen\u00adsed pro\u00adduct gene\u00adral\u00adly offe\u00adred by GSI on an appro\u00adpria\u00adte data car\u00adri\u00ader, sent to the address spe\u00adci\u00adfied as the deli\u00advery address. GSI reser\u00adves the right to adapt the spe\u00adci\u00adfi\u00adca\u00adti\u00adons of the licen\u00adsed pro\u00adduct, e.g. to meet tech\u00adni\u00adcal deve\u00adlo\u00adp\u00adments, chan\u00adges to the laws or future mar\u00adket requi\u00adre\u00adments. A print-out of the ope\u00adra\u00adting manu\u00adal will be sup\u00adpli\u00aded with the soft\u00adware. It ser\u00adves to learn how to run the pro\u00adgram as well as to ans\u00adwer ques\u00adti\u00adons in this con\u00adnec\u00adtion. The ope\u00adra\u00adting manu\u00adal remains the pro\u00adper\u00adty of GSI and may only be used by the cus\u00adto\u00admer for the pur\u00adpo\u00adse agreed. If the soft\u00adware or manu\u00adal is lost, GSI will sup\u00adp\u00adly a repla\u00adce\u00adment copy at cost pri\u00adce. GSI only gua\u00adran\u00adtees that the soft\u00adware will run fault\u00adless\u00adly on hard\u00adware sys\u00adtems which it has appro\u00adved. Appr\u00adoval will be dee\u00admed to have been issued when GSI installs the pro\u00adgram on a hard\u00adware sys\u00adtem belon\u00adging to the customer.<\/p>\n

      13 Accep\u00adtance<\/strong><\/p>\n

      After instal\u00adla\u00adti\u00adon and test\u00ading, GSI will inform the cus\u00adto\u00admer in wri\u00adting that the parts of the soft\u00adware that have been exten\u00added or modi\u00adfied by com\u00adpa\u00adri\u00adson with the stan\u00addard ver\u00adsi\u00adon are ful\u00adly func\u00adtion\u00adal and it will request the cus\u00adto\u00admer to issue its accep\u00adtance. The cus\u00adto\u00admer can thereu\u00adpon test the soft\u00adware. If the con\u00addi\u00adti\u00adons for accep\u00adtance have been met, the cus\u00adto\u00admer will imme\u00addia\u00adte\u00adly inform GSI in wri\u00adting of its accep\u00adtance, but no later than within 30 days of GSI\u2019s writ\u00adten noti\u00adfi\u00adca\u00adti\u00adon. If the cus\u00adto\u00admer does not issue accep\u00adtance, GSI will be entit\u00adled to set a dead\u00adline of 10 days to issue con\u00adfir\u00adma\u00adti\u00adon of accep\u00adtance. The clock starts run\u00adning on receipt of the let\u00adter by the cus\u00adto\u00admer. Accep\u00adtance will be dee\u00admed to have been issued if the cus\u00adto\u00admer fails to suf\u00adfi\u00adci\u00adent\u00adly spe\u00adci\u00adfy in wri\u00adting the reasons for refu\u00adsing accep\u00adtance befo\u00adre the dead\u00adline expires.<\/p>\n

      14 War\u00adran\u00adty<\/strong><\/p>\n

      GSI will pro\u00advi\u00adde a gua\u00adran\u00adtee for a peri\u00adod of 12 months from the time of han\u00addo\u00adver that the soft\u00adware will essen\u00adti\u00adal\u00adly meet the descrip\u00adti\u00adon in the manu\u00adal or docu\u00admen\u00adta\u00adti\u00adon with regard to the way in which it works. GSI will only be lia\u00adble for pro\u00admi\u00adsed fea\u00adtures if any such pro\u00admi\u00adse is given in the form of an expli\u00adcit assu\u00adrance in wri\u00adting. GSI points out that the cur\u00adrent sta\u00adte of the art does not per\u00admit com\u00adpu\u00adter soft\u00adware to be pro\u00addu\u00adced with zero errors. If an error occurs in the soft\u00adware, the cus\u00adto\u00admer will be obli\u00adged to report it in wri\u00adting to GSI within 2 weeks. GSI will then be free to reme\u00addy the error within an appro\u00adpria\u00adte peri\u00adod of time by making a maxi\u00admum of three repla\u00adce\u00adment deli\u00adveries or per\u00adforming reme\u00addi\u00adal work a maxi\u00admum of three times. If GSI is unsuc\u00adcessful in reme\u00addy\u00ading the fault, the cus\u00adto\u00admer can choo\u00adse bet\u00adween redu\u00adcing the purcha\u00adse pri\u00adce or can\u00adcel\u00adling the con\u00adtract. If the pro\u00adgram docu\u00admen\u00adta\u00adti\u00adon gives unam\u00adbi\u00adguous infor\u00adma\u00adti\u00adon on how to ana\u00adly\u00adse the pro\u00adblem and clear ins\u00adtruc\u00adtions on how to reme\u00addy it, and if the fault is the\u00adr\u00ade\u00adfo\u00adre one which is based on faul\u00adty ope\u00adra\u00adti\u00adon, GSI will be entit\u00adled to demand reim\u00adbur\u00adse\u00adment of its expen\u00adses incur\u00adred in inves\u00adti\u00adga\u00adting the cla\u00adim. The gua\u00adran\u00adtee covers the reme\u00addy\u00ading of errors in the pro\u00adgram code, but not the rem\u00adoval of faults occur\u00adring as a result of exter\u00adnal effects for which GSI is not respon\u00adsi\u00adble, ope\u00adra\u00adting errors or chan\u00adges not car\u00adri\u00aded out by GSI. An incon\u00adse\u00adquen\u00adti\u00adal reduc\u00adtion or rest\u00adric\u00adtion in the usa\u00adbi\u00adli\u00adty or per\u00adfor\u00admance of the pro\u00adgram does not con\u00adsti\u00adtu\u00adte an error. If it is genui\u00adne\u00adly impos\u00adsi\u00adble to reme\u00addy a fault or it is unre\u00adasonable to expect GSI to do so on eco\u00adno\u00admic grounds, GSI will be entit\u00adled to install a work\u00adaround if this leads to an accep\u00adta\u00adble solu\u00adti\u00adon of the pro\u00adblem. GSI gives no gua\u00adran\u00adtee that the soft\u00adware will meet the cus\u00adto\u00admer\u2019s spe\u00adcial requi\u00adre\u00adments of that it will work with the cus\u00adto\u00admer\u2019s pro\u00adgrams or hard\u00adware instal\u00adled on the cus\u00adto\u00admer\u2019s premises.<\/p>\n

      15 Trai\u00adning<\/strong><\/p>\n

      GSI will teach the cus\u00adto\u00admer the know\u00adledge and infor\u00adma\u00adti\u00adon requi\u00adred to use the soft\u00adware sup\u00adpli\u00aded on a user level as part of its trai\u00adning. Unless other\u00adwi\u00adse agreed in wri\u00adting, the trai\u00adning will be held in the customer\u2019s trai\u00adning rooms. If the trai\u00adning is held on the customer\u2019s pre\u00admi\u00adses, he will be obli\u00adged to pro\u00advi\u00adde suf\u00adfi\u00adci\u00adent tech\u00adni\u00adcal equip\u00adment requi\u00adred for the trai\u00adning free of char\u00adge. Tho\u00adse atten\u00adding the trai\u00adning must pos\u00adsess basic PC know\u00adledge. If GSI incurs accom\u00admo\u00adda\u00adti\u00adon cos\u00adts or other expen\u00adses as part of the trai\u00adning, such out\u00adlays must be reim\u00adbur\u00adsed by the cus\u00adto\u00admer on sub\u00admis\u00adsi\u00adon of receipts. Tra\u00advel expen\u00adses will be reim\u00adbur\u00adsed by the cus\u00adto\u00admer on sub\u00admis\u00adsi\u00adon of receipts.<\/p>\n

      16 Rest\u00adric\u00adtions on lia\u00adbi\u00adli\u00adty and expi\u00adra\u00adti\u00adon of sta\u00adtu\u00adte of limitations<\/strong><\/p>\n

      GSI will be lia\u00adble wit\u00adhout rest\u00adric\u00adtion for dama\u00adges cau\u00adsed by legal defi\u00adci\u00aden\u00adci\u00ades and fail\u00adure to pro\u00advi\u00adde pro\u00admi\u00adsed fea\u00adtures. Lia\u00adbi\u00adli\u00adty for initi\u00adal inca\u00adpa\u00adci\u00adty, delay and impos\u00adsi\u00adbi\u00adli\u00adty is limi\u00adt\u00aded to five times the sum of the order and limi\u00adt\u00aded to dama\u00adges which can be typi\u00adcal\u00adly expec\u00adted to occur when pro\u00advi\u00adding soft\u00adware. Other\u00adwi\u00adse GSI will only be lia\u00adble for wilful intent and gross negli\u00adgence inclu\u00adding by its manage\u00adment and vica\u00adrious agents unless a duty is brea\u00adched the obser\u00advan\u00adce of which is of cru\u00adcial importance for achie\u00adving the pur\u00adpo\u00adse of the con\u00adtract (car\u00addi\u00adnal duty). If a car\u00addi\u00adnal duty is brea\u00adched, GSI will also be lia\u00adble for slight negli\u00adgence. Howe\u00adver, the rest\u00adric\u00adtion of lia\u00adbi\u00adli\u00adty for initi\u00adal inca\u00adpa\u00adci\u00adty must be appli\u00aded. Lia\u00adbi\u00adli\u00adty for loss of data is limi\u00adt\u00aded to the typi\u00adcal cost of res\u00adto\u00adring the data which would be incur\u00adred if back-up copies had been regu\u00adlar\u00adly made in reflec\u00adtion of the risk level. Lia\u00adbi\u00adli\u00adty under the Pro\u00adduct Lia\u00adbi\u00adli\u00adty Act remains unaf\u00adfec\u00adted. Strict lia\u00adbi\u00adli\u00adty on the part of GSI under Sec\u00adtion 538 (1) of the Ger\u00adman Civil Code is expli\u00adcit\u00adly excluded. The sta\u00adtu\u00adte of limi\u00adta\u00adti\u00adons for imma\u00adte\u00adri\u00adal con\u00adtrac\u00adtu\u00adal brea\u00adches is limi\u00adt\u00aded to two years.<\/p>\n

      E Rights on ter\u00admi\u00adna\u00adti\u00adon of use<\/h4>\n

      17 Return of property<\/strong><\/p>\n

      On ter\u00admi\u00adna\u00adti\u00adon of the con\u00adtract, all items which we have pro\u00advi\u00added the cus\u00adto\u00admer for his use, in par\u00adti\u00adcu\u00adlar ren\u00adted or lea\u00adsed hard\u00adware, must be retur\u00adned to us with the trans\u00adport and insu\u00adrance cos\u00adts to be paid for by our customer.<\/p>\n

      18 Soft\u00adware<\/strong><\/p>\n

      In the case of soft\u00adware for which usa\u00adge rights are only gran\u00adted with rest\u00adric\u00adtions, such soft\u00adware must be retur\u00adned at the end of the con\u00adtract tog\u00ade\u00adther with data car\u00adri\u00aders if it is instal\u00adled on data car\u00adri\u00aders belon\u00adging to us, and other\u00adwi\u00adse it must be dele\u00adted on the customer\u2019s own data car\u00adri\u00aders and the dele\u00adti\u00adon log sent to us.<\/p>\n

      19 Docu\u00admen\u00adta\u00adti\u00adon<\/strong><\/p>\n

      All mate\u00adri\u00adal forming part of the docu\u00admen\u00adta\u00adti\u00adon \u2013 inclu\u00adding source pro\u00adgrams and deve\u00adlo\u00adp\u00adment docu\u00admen\u00adta\u00adti\u00adon \u2013 must be retur\u00adned to us in the ori\u00adgi\u00adnal tog\u00ade\u00adther with all copies made of it.<\/p>\n

      20 Con\u00adfir\u00adma\u00adti\u00adon of com\u00adple\u00adte return<\/strong><\/p>\n

      On request, we are entit\u00adled to for\u00admal con\u00adfir\u00adma\u00adti\u00adon that all obli\u00adga\u00adti\u00adons to return items have been com\u00adple\u00adte\u00adly ful\u00adfil\u00adled in com\u00adpli\u00adance with the contract.<\/p>\n

      F Ancil\u00adla\u00adry provisions<\/h4>\n

      21 Choice of juris\u00addic\u00adtion, place of per\u00adfor\u00admance and place of jurisdiction<\/strong><\/p>\n

      All our busi\u00adness rela\u00adti\u00adonships with our cus\u00adto\u00admers are sub\u00adject exclu\u00adsi\u00adve\u00adly to the law of the Fede\u00adral Repu\u00adblic of Ger\u00adma\u00adny. If this law refers to for\u00adeign legal juris\u00addic\u00adtions, such refe\u00adren\u00adces will be inva\u00adlid. Appli\u00adca\u00adti\u00adon of the UN Con\u00adven\u00adti\u00adon on Con\u00adtracts for the Inter\u00adna\u00adtio\u00adnal Sale of Goods (UNCI\u00adTRAL) is expli\u00adcit\u00adly excluded. The place of ful\u00adfilm\u00adent for pro\u00adducts and ser\u00advices is the loca\u00adti\u00adon con\u00adtrac\u00adtual\u00adly agreed as the deli\u00advery address, Munich in the event of doubt. The place of ful\u00adfilm\u00adent for pay\u00adments is the place of pay\u00adment spe\u00adci\u00adfied in the invoice. The place of juris\u00addic\u00adtion for both par\u00adties is Munich, but GSI will be entit\u00adled to elect to assert its own claims at the place of juris\u00addic\u00adtion of our part\u00adner. If GSI\u2019s con\u00adtrac\u00adtu\u00adal part\u00adner is not a regis\u00adtered trader, sta\u00adtu\u00adto\u00adry regu\u00adla\u00adti\u00adons will apply.<\/p>\n

      22 Severa\u00adbi\u00adli\u00adty Clause<\/strong><\/p>\n

      Should indi\u00advi\u00addu\u00adal clau\u00adses of the\u00adse con\u00adtrac\u00adtu\u00adal con\u00addi\u00adti\u00adons or any indi\u00advi\u00addu\u00adal side agree\u00adments con\u00adcluded, be whol\u00adly or par\u00adti\u00adal\u00adly inva\u00adlid, this will not affect the vali\u00addi\u00adty of the remai\u00adning clau\u00adses. The inva\u00adlid clau\u00adse will be repla\u00adced by a dif\u00adfe\u00adrent clau\u00adse which most clo\u00adse\u00adly appro\u00adxi\u00adma\u00adtes to the finan\u00adcial pur\u00adpo\u00adse of the inva\u00adlid pro\u00advi\u00adsi\u00adon and which in turn is valid.<\/p>\n
